1. Parties and product
Milltech LLC provides Boardment, an enterprise board management software product for committees, meetings, agendas, documents, annotations, minutes, approvals, signatures, action items, reporting, and audit trails.
2. Authorized use
Boardment is intended for business and organizational use by customers, administrators, employees, board members, committee members, advisors, and other authorized users. Customers are responsible for authorizing users, assigning roles, and maintaining appropriate internal access controls.
3. Accounts and security
Users must protect their credentials and must not share access with unauthorized people. Customers are responsible for configuring roles, permissions, multi-factor authentication, and administrative access according to their own governance and security policies.
4. Acceptable use
Users may not misuse Boardment, attempt unauthorized access, bypass security controls, upload malicious content, infringe third-party rights, disrupt the service, or use Boardment in violation of applicable law.
5. Commercial terms
Boardment may be provided through pilots, managed SaaS subscriptions, enterprise licenses, implementation services, support packages, or other commercial arrangements. Pricing, payment terms, renewal terms, deployment scope, support levels, and service commitments are defined in the applicable written agreement or order form.
6. Customer content
Customers retain ownership of their documents, meeting records, minutes, annotations, signatures, action items, reports, and other content uploaded to or created in Boardment. Milltech LLC may process customer content only as needed to provide, secure, support, maintain, and improve Boardment, or as otherwise agreed in writing.
7. Confidentiality
Each party should protect confidential information received through the commercial relationship with reasonable care and use it only for purposes related to Boardment, unless disclosure is required by law or permitted by a signed agreement.
8. Service changes
Milltech LLC may update Boardment to improve reliability, security, usability, or functionality. Material service commitments, maintenance windows, incident response terms, backups, and support obligations are governed by the applicable customer agreement.
9. Suspension and termination
Access may be suspended or terminated for non-payment, security risk, unlawful use, material breach, or as otherwise set out in a customer agreement. Data return, export, or deletion will be handled according to the applicable agreement and law.
10. Disclaimers and liability
To the extent permitted by law, Boardment is provided according to the applicable written agreement and without warranties not expressly stated in that agreement. Any liability is limited according to the applicable agreement or, where no agreement exists, to the maximum extent permitted by law.
11. Governing law
Unless a signed agreement states otherwise, these terms are governed by the laws of the State of Wyoming, United States of America.
